СÀ¶ÊÓƵ owns interests in a broad range of media, entertainment and sports businesses. Those interests are attributed to two tracking stock groups: the СÀ¶ÊÓƵ Live Group and the Formula One Group.

• The СÀ¶ÊÓƵ Formula One common stock and the СÀ¶ÊÓƵ Live common stock are intended to track and reflect the economic performance of the businesses, assets and liabilities attributed to the Formula Group and the СÀ¶ÊÓƵ Live Group, respectively.
• Series A common stock has one vote per share, Series B common stock has ten votes per share and Series C common stock is non-voting stock (subject to certain exceptions in the case of Series C common stock).
• Series B common stock is exchangeable at any time by the holder on a one-for-one basis for Series A common stock. Series A and Series C common stock are not exchangeable at any time by the holder of such stock.

• The Series A and Series C СÀ¶ÊÓƵ Formula One common stock trade on the Nasdaq Global Select Market under the stock symbols FWONA and FWONK, respectively. The Series B СÀ¶ÊÓƵ Formula One common stock is quoted on the OTC Markets under the symbol FWONB.
• The Series A and Series C СÀ¶ÊÓƵ Live common stock trade on the Nasdaq Global Select Market under the stock symbols LLYVA and LLYVK, respectively. The Series B СÀ¶ÊÓƵ Live common stock is quoted on the OTC Markets under the symbol LLYVB.

On September 9, 2024, СÀ¶ÊÓƵ Media competed the transaction with Sirius XM whereby the СÀ¶ÊÓƵ SiriusXM tracking stock group was separated by means of a redemptive split-off into a separate company. This company was subsequently combined with Sirius XM Holdings Inc. to create a new public company that continues to operate under the Sirius XM name and brand (NASDAQ: SIRI). As a result, СÀ¶ÊÓƵ SiriusXM is no longer a tracking stock group of СÀ¶ÊÓƵ Media.

No additional action needs to be taken by shareholders. As part of the transaction, СÀ¶ÊÓƵ SiriusXM shareholders received [0.83] shares of the new Sirius XM common stock (NASDAQ: SIRI) for each outstanding share of СÀ¶ÊÓƵ SiriusXM common stock previously held, with cash paid in lieu of fractional shares. Atlanta Braves Holdings consists of the assets and liabilities previously attributed to the Braves Group tracking stock of СÀ¶ÊÓƵ Media, including the Atlanta Braves baseball club and the associated mixed-use development project, The Battery Atlanta. Atlanta Braves Holdings, Inc. stock trades under the same tickers as the previous Braves Group tracking stock (NASDAQ: BATRA, BATRK; OTC: BATRB).

Each holder of the then-СÀ¶ÊÓƵ Series A common stock received 0.25 of a share of СÀ¶ÊÓƵ Interactive Series A common stock and 0.05 of a share of СÀ¶ÊÓƵ Capital Series A common stock for each share of old СÀ¶ÊÓƵ Series A common stock held; and each holder of the then-СÀ¶ÊÓƵ Series B common stock received 0.25 of a share of СÀ¶ÊÓƵ Interactive Series B common stock and 0.05 of a share of СÀ¶ÊÓƵ Capital Series B common stock for each share of old СÀ¶ÊÓƵ Series B common stock held.

With the reclassification of СÀ¶ÊÓƵ Capital in March 2008, each holder of СÀ¶ÊÓƵ Capital group Series A common stock received 4 shares of СÀ¶ÊÓƵ Entertainment Series A common stock and maintained existing holdings of СÀ¶ÊÓƵ Capital group Series A common stock.

Each holder of СÀ¶ÊÓƵ Capital group Series B common stock received 4 shares of СÀ¶ÊÓƵ Entertainment Series B common stock and maintained existing holdings of СÀ¶ÊÓƵ Capital group Series B common stock.

Shares of СÀ¶ÊÓƵ Interactive were not affected by the reclassification of the СÀ¶ÊÓƵ Capital common stock.

Each holder of СÀ¶ÊÓƵ Interactive Corporation's СÀ¶ÊÓƵ Capital Series A common stock received 1 share of СÀ¶ÊÓƵ Media's СÀ¶ÊÓƵ Capital Series A common stock.

Each holder of СÀ¶ÊÓƵ Interactive Corporation's СÀ¶ÊÓƵ Capital Series B common stock received 1 share of СÀ¶ÊÓƵ Media's СÀ¶ÊÓƵ Capital Series B common stock.

Each holder of СÀ¶ÊÓƵ Interactive Corporation's СÀ¶ÊÓƵ Starz Series A common stock received 1 share of СÀ¶ÊÓƵ Media's СÀ¶ÊÓƵ Starz Series A common stock.

Each holder of СÀ¶ÊÓƵ Interactive Corporation's СÀ¶ÊÓƵ Starz Series B common stock received 1 share of СÀ¶ÊÓƵ Media's СÀ¶ÊÓƵ Starz Series B common stock.

On November 28, 2011, СÀ¶ÊÓƵ Media eliminated its tracking stock structure by converting each share of its СÀ¶ÊÓƵ Starz common stock into 0.88129 of a share of the corresponding series of СÀ¶ÊÓƵ Capital common stock. In connection with that transaction, СÀ¶ÊÓƵ Capital common stock began trading under the new Nasdaq symbols of LMCA and LMCB beginning on November 29, 2011. The ticker symbols LCAPA and LCAPB are no longer used.

On November 28, 2011, СÀ¶ÊÓƵ Media eliminated its tracking stock structure by converting each share of its СÀ¶ÊÓƵ Starz common stock into 0.88129 of a share of the corresponding series of СÀ¶ÊÓƵ Capital common stock. In connection with that transaction, СÀ¶ÊÓƵ Capital common stock began trading under the new Nasdaq symbols of LMCA and LMCB beginning on November 29, 2011. Investors can no longer purchase LSTZA and LSTZB shares.

СÀ¶ÊÓƵ Media has no direct stock purchase plan. You can purchase СÀ¶ÊÓƵ Formula One common stock or СÀ¶ÊÓƵ Live common stock through a broker.

On May 9, 2006, shares of the entity formerly known as СÀ¶ÊÓƵ were exchanged for shares of the СÀ¶ÊÓƵ Interactive and СÀ¶ÊÓƵ Capital tracking stocks and the old СÀ¶ÊÓƵ Series A and Series B shares, which traded under the L and LMC.B ticker symbols, ceased trading. Investors can no longer purchase L or LMC.B shares.

On March 3, 2008, holders of СÀ¶ÊÓƵ Capital tracking stock were issued shares of СÀ¶ÊÓƵ Entertainment tracking stock.

On November 20, 2009, holders of СÀ¶ÊÓƵ Entertainment tracking stock were issued shares of DIRECTV and СÀ¶ÊÓƵ Starz tracking stock. СÀ¶ÊÓƵ Entertainment Series A and Series B shares, which traded under the LMDIA and LMDIB ticker symbols, ceased trading.

On September 23, 2011, СÀ¶ÊÓƵ Interactive Corporation redeemed all of the shares of its СÀ¶ÊÓƵ Capital common stock in exchange for shares of СÀ¶ÊÓƵ Media's СÀ¶ÊÓƵ Capital common stock, and redeemed all of the shares of its СÀ¶ÊÓƵ Starz common stock for shares of СÀ¶ÊÓƵ Media's СÀ¶ÊÓƵ Starz common stock.

Following these redemptions, СÀ¶ÊÓƵ Media, which previously existed as a subsidiary of СÀ¶ÊÓƵ Interactive Corporation, was split-off from СÀ¶ÊÓƵ Interactive Corporation. The redemptions and split-off had no effect on the holders of СÀ¶ÊÓƵ Interactive common stock. СÀ¶ÊÓƵ Interactive Corporation (now known as Qurate Retail, Inc.) and СÀ¶ÊÓƵ Media are now two separate publicly traded companies and are not affiliated with each other.

On January 11, 2013, СÀ¶ÊÓƵ (formerly known as СÀ¶ÊÓƵ Spinco, Inc.) was spun-off from Starz (formerly known as СÀ¶ÊÓƵ). The spin-off was accomplished by the distribution by Starz of a dividend of one share of СÀ¶ÊÓƵ’s Series A common stock for each outstanding share of Starz’s Series A СÀ¶ÊÓƵ Capital common stock, and one share of СÀ¶ÊÓƵ’s Series B common stock for each outstanding share of Starz’s Series B СÀ¶ÊÓƵ Capital common stock held as of January 10, 2013. The СÀ¶ÊÓƵ Media common stock continued to trade under the Nasdaq symbols of LMCA and LMCB.

In April 2016, СÀ¶ÊÓƵ Media reclassified its common stock into three tracking stocks and each holder of СÀ¶ÊÓƵ’s former Series A, Series B and Series C common stock received 1 share of the corresponding series of СÀ¶ÊÓƵ SiriusXM common stock (tickers LSXMA/LSXMB/LSXMK), 0.1 of a share of the corresponding series of СÀ¶ÊÓƵ Braves common stock (tickers BATRA/BATRB/BATRK) and 0.25 of a share of the corresponding series of СÀ¶ÊÓƵ Media common stock (tickers LMCA/LMCB/LMCK).

In January 2017, СÀ¶ÊÓƵ Media changed the name of its СÀ¶ÊÓƵ Media common stock to СÀ¶ÊÓƵ Formula One common stock (tickers FWONA/FWONB/FWONK) in connection with СÀ¶ÊÓƵ Media’s acquisition of the Formula 1 business.

In July 2023, СÀ¶ÊÓƵ Media completed the split-off of Atlanta Braves Holdings, Inc. As a result, СÀ¶ÊÓƵ Media and Atlanta Braves Holdings, Inc. are separate publicly traded companies.

In August 2023, СÀ¶ÊÓƵ Media reclassified its existing СÀ¶ÊÓƵ SiriusXM common stock and СÀ¶ÊÓƵ Formula One common stock into three new tracking stocks: СÀ¶ÊÓƵ SiriusXM Group (tickers LSXMA/LSXMB/LSXMK), СÀ¶ÊÓƵ Formula One Group (tickers FWONA, FWONB, FWONK) and СÀ¶ÊÓƵ Live Group (ticker LLYVA, LLYVB, LLYVK).

Following СÀ¶ÊÓƵ Media’s acquisition of Formula 1 in January 2017, the СÀ¶ÊÓƵ Media Group was renamed the Formula One Group and the tickers were changed from LMCA/LMCB/LMCK to FWONA/FWONB/FWONK.

The Formula 1 acquisition was not taxable to stockholders of СÀ¶ÊÓƵ Media for U.S. income tax purposes. The name change to the Formula One Group was not taxable for U.S. income tax purposes.
